Terms of Use

The agreement between GigSpace and everyone who uses the Platform. Please read carefully.

1. About these terms

1.1These Terms of Use (“Terms”) are a legal agreement between you and GIGSPACE LIMITED (“GigSpace”, “we”, “us”), a company registered in Ireland (company number 823892), governing your use of the website gigspace.ie and the application app.gigspace.ie (the “Platform”).

1.2By creating an account or using the Platform, you agree to these Terms, our Acceptable Use Policy and our Privacy Policy. If you do not agree, do not use the Platform.

1.3If you use the Platform on behalf of an organisation (such as a booking agency or a venue), you confirm you are authorised to bind that organisation, and “you” includes that organisation. Booking agencies that subscribe to GigSpace also enter a separate services agreement with us, which prevails over these Terms in the event of conflict for that agency.

2. Eligibility: 18+

2.1The Platform is for business users only and is restricted to persons aged 18 or over. By using it, you confirm you are at least 18 and are acting in the course of a trade, business or profession.

2.2You are responsible for keeping your login details secure and for all activity under your account. Tell us promptly of any unauthorised use.

3. What GigSpace is, and what it is not

3.1GigSpace is a technology platform that helps booking agencies manage live-entertainment bookings and match artists (“acts”) with venues. We provide the software only.

3.2We are not a party to any booking or engagement. Bookings are arranged between the booking agency and the venue, and between the booking agency and the act. GigSpace is not the employer, agent, promoter, or booker of any act, and is not a party to any contract between agencies, venues and acts.

3.3We do not guarantee any outcome. We do not guarantee that a booking will be offered, accepted, performed or paid, or the quality, safety, legality or suitability of any act, venue, or event. Any dispute about a booking is between the agency, the venue and the act, and you agree to pursue it with them, not with us.

3.4Responsibility for matters such as employment status and tax, insurance, music licensing (for example IMRO/PPI), and any vetting or safeguarding requirements rests with the agencies, venues and acts involved, not with GigSpace. We provide tools, not compliance for those matters.

4. Your account and content

4.1You must provide accurate information and keep it up to date. You are responsible for the content you upload (including profiles, photos, media, venue details and feedback) (“User Content”).

4.2You retain ownership of your User Content. You grant us a worldwide, non-exclusive, royalty-free licence to host, store, reproduce and display it for the purpose of operating and promoting the Platform and providing the service to you and the agencies/venues you work with. This licence ends when you delete the content or close your account, except for copies we must retain by law or that have already been shared with others in the ordinary use of the Platform.

4.3You warrant that your User Content is accurate, is yours to share, and does not infringe anyone’s rights or break the law. You must comply with our Acceptable Use Policy.

4.4Feedback and ratings must be honest, based on genuine experience, and fair. We may moderate or remove content that breaches these Terms.

5. Bookings, fees and payments

5.1Booking terms (including fees, deposits, cancellation and performance conditions) are set between the agency, the venue and the act. Where the Platform records or displays those terms, it does so to assist those parties; GigSpace is not responsible for them.

5.2Subscriptions to GigSpace by agencies are governed by their separate services agreement. Where online payments are enabled, they are processed by our payment provider (Stripe, when enabled), and GigSpace does not hold users’ booking funds. Additional payment terms will apply and will be made available when that feature launches.

6. Intellectual property

6.1The Platform, its software, design and content (other than User Content) are owned by GigSpace or its licensors and are protected by law. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Platform for its intended purpose while these Terms apply.

6.2You may not copy, modify, reverse-engineer, resell, scrape, or create derivative works from the Platform, except as allowed by EU law.

7. Availability

We work to keep the Platform available but do not guarantee it will be uninterrupted or error-free. We may change, suspend or withdraw features, and carry out maintenance. Service-level commitments, where they apply, are set out in an agency’s separate services agreement.

8. Disclaimers and our liability to you

8.1The Platform is provided “as is” and “as available”. To the fullest extent permitted by law, we exclude all implied warranties and conditions.

8.2Nothing in these Terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for anything that cannot be limited or excluded under Irish law.

8.3Subject to clause 8.2, we are not liable for: any booking or engagement, or any act, venue or event; loss of profit, revenue, goodwill, opportunity or data; or any indirect or consequential loss. Subject to clause 8.2, our total liability to you arising out of or in connection with the Platform is limited to the greater of the amounts you paid us (if any) for the Platform in the 12 months before the claim, or €100.

9. Suspension and termination

9.1You can stop using the Platform and close your account at any time.

9.2We may suspend or terminate your access if you breach these Terms or the Acceptable Use Policy, if required by law, or to protect the Platform or other users. Where reasonable and lawful, we will give you notice and reasons.

9.3Provisions that by their nature should survive termination (including intellectual property, disclaimers, liability and governing law) will continue to apply.

10. Changes to these Terms

We may update these Terms from time to time. If we make significant changes, we will take reasonable steps to notify you (for example by email or an in-Platform notice) before they take effect. Continuing to use the Platform after changes take effect means you accept the updated Terms.

11. Governing law and jurisdiction

These Terms, and any dispute arising out of or in connection with them, are governed by the laws of Ireland, and the courts of Ireland have exclusive jurisdiction.
